1. Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Reisnova Limited, a company registered in England, trading as AiOrch ("we", "us", "Company"). By installing, accessing, or using the AiOrch software ("Software"), you agree to be bound by these Terms.
If you are using the Software on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Software Description
AiOrch is a self-hosted multi-agent code orchestration platform. The Software is installed and executed entirely on your own infrastructure. We provide the software; you provide the runtime environment.
3. Licence Grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software in accordance with your subscription plan.
- Developer plan: Single user, single concurrent installation.
- Team plan: Multiple users, concurrent installations as specified in your plan.
- Trial: 14-day free trial with full functionality. No credit card required.
You may not sublicense, redistribute, reverse-engineer, decompile, or create derivative works of the Software, except to the extent expressly permitted by applicable law.
4. Self-Hosted Nature and Customer Responsibilities
The Software runs entirely on your infrastructure. You are solely responsible for:
- Server security: Configuring TLS/HTTPS via a reverse proxy, firewall rules, OS patches, and access controls.
- Network security: Restricting access to the Software's port and ensuring traffic is encrypted in transit.
- Data protection: All code, session data, agent outputs, API keys, and other content reside on your servers. You are the data controller for any personal data processed by the Software on your infrastructure.
- Backups: Implementing backup procedures for your data, configurations, and session history.
- API keys: Securely managing any third-party API keys (OpenAI, Anthropic, GitHub, etc.) you configure in the Software. These keys are stored on your server, not ours.
- Access management: Controlling who can access your installation and setting a strong master password.
- Compliance: Ensuring your use of the Software complies with all applicable laws and regulations in your jurisdiction.
5. What We Provide
- Secure defaults: The Software ships with authentication enforcement, auto-generated API keys, rate limiting, signed session cookies, and secret redaction. Security documentation is included.
- Software updates: Bug fixes, security patches, and feature updates during your active subscription period.
- Technical support: Available at tech@aiorch.ai. We aim to respond to support requests in a reasonable timeframe. Support covers Software functionality, installation guidance, and bug reports.
- Documentation: Installation guides, security model documentation, and command reference.
6. Limitation of Liability
Please read this section carefully.
To the maximum extent permitted by applicable law:
- The Software is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Software will be error-free, uninterrupted, secure, or that it will meet your specific requirements.
- We are not responsible for any data loss, security breaches, unauthorised access, or other incidents arising from your deployment, configuration, or use of the Software on your infrastructure.
- We are not liable for any actions performed by AI agents spawned by the Software, including but not limited to code changes, file modifications, git operations, or API calls made by those agents.
- We are not liable for any costs incurred from third-party API usage (OpenAI, Anthropic, etc.) initiated by the Software at your direction.
- In no event shall our total aggregate liability exceed the amount you have paid us in the twelve (12) months preceding the claim.
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, regardless of whether we have been advised of the possibility of such damages.
7. Indemnification
You agree to indemnify, defend, and hold harmless Reisnova Limited, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the Software
- Your failure to secure your deployment
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
8. Payment and Subscriptions
- Paid subscriptions are billed monthly or annually as selected at purchase.
- All fees are non-refundable except as required by applicable consumer protection law.
- We reserve the right to change pricing with 30 days' notice. Price changes do not affect the current billing period.
- If payment fails, your licence may be deactivated after a reasonable grace period.
9. Licence Enforcement
The Software communicates with our licence server for activation, periodic heartbeats, and deactivation. This is limited to licence validation data (licence key, hashed machine identifier, IP address, software version). No code, session data, or user content is transmitted.
Attempting to circumvent licence enforcement is a material breach of these Terms.
10. Acceptable Use
You agree not to use the Software to:
- Violate any applicable law or regulation
- Infringe upon intellectual property rights of others
- Generate malicious code, malware, or exploits
- Circumvent licence restrictions or share licence keys
- Interfere with our licence server or infrastructure
11. Termination
- You may terminate by discontinuing use and uninstalling the Software at any time.
- We may terminate or suspend your licence if you breach these Terms, with notice where reasonably practicable.
- Upon termination, your licence to use the Software ceases. Data on your servers remains yours.
12. Intellectual Property
The Software and all associated intellectual property rights are and remain the property of Reisnova Limited. These Terms do not transfer any ownership rights to you.
Code generated by AI agents through the Software belongs to you, subject to the terms of the AI providers you use (OpenAI, Anthropic, etc.).
13. Third-Party Services
The Software integrates with third-party AI providers and platforms. Your use of those services is governed by their respective terms. We are not responsible for the availability, accuracy, or conduct of any third-party service.
14. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via our changelog, documentation, or email. Continued use of the Software after changes take effect constitutes acceptance.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Reisnova Limited regarding the Software.
